Terms & Conditions

1. Definitions

The following terms shall apply:
Agreement: These Terms and any Specification Documents.
Seller: Anti Matrix Apparel (inquiries@antimatrixapparel.com).
Customer: The buyer of Goods or Services.
IP Rights: Includes all patents, copyrights, trademarks, designs, know-how, etc.
Specification: Document describing the goods/services.
Fees: Prices as per Order Acknowledgement.
Products: Goods and Services delivered.
Order Acknowledgement: Written order confirmation.

Failure to meet deadlines results in default without notice.

2. Application

These terms apply to all offers, sales, and relations between Seller and Customer. Customer’s terms apply only if not conflicting. Conflicts favor these terms. Changes require signed written agreement.

3. Sales Agreement

Sales based on accepted quotes/orders governed by these terms. Variations valid only in writing. Seller’s agents can’t make binding promises without written confirmation. Unwritten advice or errors are non-binding and correctable.

4. Design Scope (Tech Pack)

• Gather info after payment.
• Create front/back sketches.
• Client guides fabric selection.
• Measurements provided or sampled.
• Client supplies brand assets.
• Detailed bill of materials (BOM).
• Compile tech pack & review with manufacturer.

5. Orders & Specs

Quotes are not binding until Seller accepts the order. Orders confirmed by Acknowledgement or delivery. Customer ensures accuracy of order/specs. Quantity may vary ±10%. Customer indemnifies Seller for IP claims. Seller may adjust specs for compliance or improvement. Cancellations need written approval and Customer bears costs. Unapproved cancellations incur 100% charge. Paid damages settle related liability.

6. Pricing

Price based on valid quote or price list. Delays or changes may adjust price. Prices exclude delivery unless agreed. Quantity changes may affect final amount. Prices exclude applicable taxes.

7. Payment

Full upfront payment unless otherwise agreed. Payment complete once fully received. No deductions allowed. Non-payment: Seller may cancel or delay delivery, allocate payments at discretion. Late payments make all claims due immediately. Storage fees: $15/day/box after 10 working days post final invoice.

8. Delivery & Risk

Customer covers delivery cost and risk upon dispatch. Seller not liable for transit loss/damage. Minor measurement differences acceptable. Up to 5% defect rate allowed. Seller not liable for stitching/pattern discrepancies. Delivery dates are estimates; 4-week delays do not breach contract.
